EGN MEMBERSHIP TERMS AND CONDITIONS
These Membership Terms and Conditions (“Terms”) govern all memberships of Executives’ Global Network (“EGN”), including all EGN entities operating in Singapore, Malaysia, and Indonesia.
By registering for or participating in EGN, you (“Member”) confirm that you have read, understood, and agreed to be bound by these Terms and the EGN Member Code of Conduct & Non-Disclosure Agreement (NDA), which together form a legally binding agreement between you and EGN.
A. PERSONAL, EXCLUSIVE & NON-TRANSFERABLE MEMBERSHIP
Membership of EGN is granted exclusively to the named individual Member for:
A specific peer group
A specific professional role or position
A specific organisation or business, as approved by EGN
Membership is personal, exclusive, and strictly non-transferable without prior written approval from EGN.
Any material changes to the Member’s role, responsibilities, employment, ownership, or represented organisation must be disclosed immediately to EGN and may require re-approval, reassignment to another peer group, or termination of membership to avoid conflicts of interest.
B. PARTICIPATION, CONTRIBUTION & PEER RESPONSIBILITY
EGN is a confidential peer network built on trust, contribution, and mutual support.
Members are expected to:
Actively participate in meetings, discussions, and activities
Share professional experiences, insights, challenges, successes, and failures
Engage in respectful, honest, and constructive dialogue
Members are not required to disclose proprietary, confidential, or trade-secret information relating to their organisation.
C. RELATIONSHIP-FIRST, NO-SELLING ENVIRONMENT
EGN is a relationship-driven peer network designed to foster trust and long-term collaboration. While EGN encourages relationship building and a natural buying environment, direct or indirect sales, marketing, pitching, promotion, solicitation, lead generation, or commercial targeting of other members is strictly prohibited, unless expressly approved in writing by EGN.
Any business engagement between members must arise organically and voluntarily, without pressure, and outside formal EGN activities, including meetings, events, digital platforms, and private communications arising from EGN participation.
Any breach of this clause may result in immediate suspension or termination of membership without refund, upon written notice from EGN, unless the Member demonstrates to EGN’s reasonable satisfaction within seven (7) days that no breach has occurred.
D. PEER GROUP INTEGRITY & ADMISSION RIGHTS
To preserve trust and confidentiality:
Existing peer group members retain the right to veto the admission of new members
EGN reserves the absolute right to accept, reject, reassign, or remove any member
EGN may reassign or terminate membership where a conflict of interest arises or where peer group integrity may be compromised.
E. MEMBERSHIP TYPES & BENEFITS
Executive & Corporate Membership
Includes:
Participation in assigned peer group meetings (in-person and/or virtual).
Participation in other peer group meetings, subject to seat availability and approval by the Chairperson (in-person and/or virtual).
Access to cross-functional and networking events
Access to the EGN Members’ Universe (digital platform)
Participation in official EGN communication channels (e.g. WhatsApp groups)
Refreshments during in-person meetings, where applicable
Virtual Membership
Includes:
Virtual participation in assigned peer group meetings
Virtual participation in other peer group meetings, subject to seat availability and approval by the Chairperson
Access to virtual events and networking sessions
Access to the EGN Members’ Universe
Participation in official EGN communication channels
EGN reserves the right to modify formats, schedules, or delivery methods without liability.
F. MEMBERSHIP TERM, RENEWAL & PAYMENT
Standard membership duration is twelve (12) months
Membership renews automatically in accordance with the selected billing cycle (monthly, quarterly, or annually), unless cancelled.
Members must provide at least one (1) month’s written notice prior to the next renewal date to cancel membership.
All membership fees are non-refundable.
Membership fees must be paid in full prior to attending any EGN activities. EGN reserves the right to suspend participation for non-payment.
G. CONFIDENTIALITY & NON-DISCLOSURE
All information shared within EGN including meetings, discussions, summaries, recordings, digital platforms, and communications is strictly confidential.
Members shall not disclose any EGN information to third parties without:
Prior written consent from the originating member; or
Written approval from EGN or the relevant Peer Group Chair
Confidentiality obligations survive for two (2) years, or longer where required by applicable law, after termination of membership, regardless of the reason for termination.
H. NON-SOLICITATION & NON-COMPETITION
Members agree that they shall not, directly or indirectly:
Solicit or interfere with another member’s clients, employees, or business relationships
Induce or encourage any member to terminate their EGN membership
Compete with, replicate, or undermine EGN’s business model, services, or operations
These obligations survive for two (2) years after termination of membership, to the fullest extent permitted by applicable law.
I. PROFESSIONAL CONDUCT - MEMBER CODE OF CONDUCT & NON-DISCLOSURE AGREEMENT (NDA)
Members shall act professionally, ethically, and respectfully in all interactions connected to EGN.
EGN maintains a zero-tolerance policy toward harassment, discrimination, intimidation, or any conduct that damages EGN’s reputation or community.
All Members must comply with the EGN Member Code of Conduct & Non-Disclosure Agreement (NDA), which forms an integral part of these Terms.
Any breach of the Code of Conduct may result in suspension or immediate termination of membership without refund, at EGN’s sole discretion.
J. TERMINATION & ENFORCEMENT AUTHORITY
EGN reserves the right, at its sole and absolute discretion, acting reasonably and in good faith to suspend or terminate any membership, with or without cause, with immediate effect, and without refund, where EGN reasonably determines that a member has:
Breached these Terms or the Member Code of Conduct & Non-Disclosure Agreement (NDA)
Acted in a manner detrimental to EGN or its members
Misused EGN platforms, relationships, or reputation
Termination does not affect accrued obligations, including confidentiality and non-competition.
K. LIMITATION & WAIVER OF LIABILITY
EGN does not provide legal, financial, medical, or professional advice.
Members acknowledge that:
Participation is voluntary and at their own risk
EGN is not responsible for the outcomes of member decisions or interactions
EGN is not a party to any agreement or dispute between members
To the fullest extent permitted by law, Members waive any claims against EGN arising from participation in EGN activities.
L. MEDIA, PHOTOGRAPHY & RECORDING CONSENT
By participating in EGN activities, Members grant EGN an exclusive, perpetual, irrevocable, royalty-free licence to use photographs, videos, audio recordings, and likeness for marketing, media, and promotional purposes across all platforms.
All such materials remain the sole property of EGN.
M. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of Singapore.
Where applicable, local laws in Malaysia and Indonesia may supplement these Terms.
Any dispute shall first be referred to mediation. If unresolved, the dispute shall be submitted to the courts of Singapore, with local laws of Malaysia or Indonesia applying were mandatory.
N. ENTIRE AGREEMENT & AMENDMENTS
These Terms, together with the Member Code of Conduct & Non-Disclosure Agreement (NDA), constitute the entire agreement between EGN and its Members.
EGN reserves the right to amend these Terms at any time. Updates will be published on the EGN website and shall take effect immediately upon publication.
